**THIS IS A REMOTE WORK FROM HOME POSITION***Ideal candidate is local within in the EDT areas.Key Duties and Responsibilities:- Manage corporate governance matters such as board and committee resolutions and approvals.
- Provide necessary support for the development and administration of corporate governance policies and charters.
- Management oversight of and including organization and maintenance of document management system, legal databases, and related documents to ensure easy retrieval and proper documentation.
- Managing the workflow of the legal department by setting up systems for tracking deadlines, meetings, and critical dates.
- Prepare and file periodic and current reports, registration statements and other regulatory filings.
- Assist with strategic transactions, including mergers, acquisitions, and divestitures.
- Provides insight on capitalization matters, including tracking equity ownership.
- Draft, proofread, and revise legal documents, including contracts, policies, memos, and other agreements.
- Provide support to the legal department, including managing schedules, communications, and correspondence.
- Handle routine legal inquiries from internal departments, ensuring accurate and timely responses.
Qualifications - Bachelor’s Degree. Paralegal certificate preferred.
- Minimum of 3-5 years of paralegal experience, preferably in-house or within a corporate legal department. Ideal candidate may have Healthcare and Private Equity experience.
- Utilize excellent oral and written communication skills to interface effectively with attorneys, practice group leaders and physicians.
- Display effective proficiency in Microsoft Word, Excel, PowerPoint and various corporate databases and software to manage documentation and information effectively.
- Familiarity with contract lifecycle management software.
- Strong organizational skills with the ability to prioritize tasks and manage multiple projects in a deadline-driven environment.
